our views. We would not take responsibility and liability for any content posted on our platform or any claims or damage
resulted from such post. While you have the right to post on our platform, such content should not infringe on the right of
parties or proprietary information, content and be in breach with the local laws of any country. We will not be held
accountable or liable for such breach.
Without prejudice, we do not guarantee that our platform and services will be available at all times and to all. We also do

contents and products. Any contract entered into for any transaction is between you and the seller / buyer. We are not a
party to such agreement and transaction and will not be responsible and liable for any terms entered into with such party.
We only provide the online platforms for interaction between users of the platform.
It is the sole responsibility of our users (posters, agents, traders and any other person who users our platform) to remit
taxes resulting from transactions that happens on our platform to the applicable authorities. We will not be held liable for
taxes emanating from those transactions.
We reserve the right to revoke your access to our platform with or without your notice should we suspect or identify any
breach by you of our terms and conditions or your transaction is suspected fraudulent or in breach of local laws or your
content breaches the intellectual property right or the right of others as may be determined and deem fit. In event this
happens, we have no liabilities from such action.
We reserve the right to review and update these terms and conditions on periodic basis with or without your notice to

services to you. Where such becomes the case, your transactions are solely between you and the third-party company.

associated risk and liabilities posed by the use of the third-party platforms. In cases where you use the third-party
platforms, you automatically consent and are bound by the policies, terms and conditions of those platforms.

Use of our services.
Any user is allowed to post products or updates on our platform once you are successfully on boarded on the platform.
The onboarding process will require submission of specific information, documents and due diligence by our team.
Any user that posts update on specific product must provide complete, necessary and accurate information for that
product. The user must also provide terms and conditions for sale of that product.
The terms and conditions provided by the user should not contravene our terms and policies as well as the applicable
local laws.
The price of goods and services should be confirmed and clearly stated. In cases where the user envisages specific
changes, such should be included in the product updates.
We reserve the right to delete the updates posted by users with or without users’ consent in case of suspected fraud,
inaccuracy, infringement and any other reasons as deem fit by us. When such becomes the case, we will not be liable for
any result from such actions and reactions.
Who may use our service
You may use our service if you are above 18 years of age and agree to abide by our terms and conditions. You must not
be a user barred from the use or provision of similar services within your jurisdiction. As a user of our service, you must

by any user, poster, agent, buyer, trader or third party. While we will make reasonable efforts to make the platform
available, we disclaim any warranty that the platform will meet your requirement. Your usage of our platforms is at your
own risk. We will not be held responsible for any damage, loss or claims resulting from use of our platform, any
information obtained from the platform, discussions made on our platform or any transaction performed on our platform.
No advice or information, in the form of oral or written obtained by any user from our website, mobile app or any of our
services will create any warranty or condition not expressly stated.
Indemnity
You agree to indemnify us and our sister companies, suppliers, licensors, directors, staff and agents from any damages,
claims, losses, cost, liabilities, expenses directly or indirectly arising out of any breech by you of any of our policies,
terms and conditions or your use of any of our platforms and services.

You agree to the limitation liability clause to the maximum extent permitted by applicable law: We will not in any form
be liable to you or any third party for any direct, indirect, related punitive, consequential, special or exemplary loss or
damages or any damages including damages resulting from revenue loss, profit loss, use, data, goodwill , business
interruption or any other intangible losses arising out of the use of our services whether such damages are based on
warranty, tort, contract, statute or any other legal theory. For jurisdictions that do not allow exclusion of certain
warranties or limitations on the scope and duration of such warranties, the above disclaimer will apply to the maximum
extent permitted by the law of such jurisdiction.
Intellectual property rights
We do not claim ownership of any information the user supplied as it remains the intellectual property of the user.
However, we will retain and use such information as reasonably necessary. By agreeing to our terms, the user grants us
the exclusive and non-exclusive right to use the intellectual property information provided by the user in diverse ways for
the operations of the platform such as but not limited to saving, editing, transfer, publishing, marketing and public
display. The user admits that his/her activities on our platform will not infringe on the right of other users and parties. All
materials, images and content on our platform are proprietary information of VINEYARD7 except contents posted by
the user. Users are not allowed to use such information without prior notification and approval by us. Any breech of such
will be treated as violation of intellectual property. In situation where intellectual property holder considers that a content
in the platform infringes on his/her intellectual property right, you may in good faith inform us on info@vineyard7.com
to expunge such content.
Governing law
These terms shall be interpreted and governed by the laws of the Federal republic of Nigeria. All parties pertaining to the
dispute shall submit to the jurisdiction of the Nigerian court for the resolution of any dispute. The seat of arbitration shall
be in Lagos and the language shall be English.
Other provisions
If by chance any clause in the terms and conditions is considered not valid and enforceable, such clause should be
expunged and shall not affect the validity of remaining contents. We will try to revise our terms and conditions from time
to time and would make reasonable efforts to inform you of any material change. Otherwise, you will assess the latest
